1. Agreement to Terms

Agastya Soft Labs provides software development services including but not limited to AI solutions, SaaS product development, custom software engineering, CRM development, web development, and related consulting services. The specific scope, deliverables, timelines, and payment terms for each engagement are defined in a separate statement of work or service agreement.

3. Intellectual Property

Unless otherwise specified in a written agreement:

• Our IP: All content on this website, including text, graphics, logos, and software, is the property of Agastya Soft Labs and protected by intellectual property laws.
• Client IP: Upon full payment, custom software and deliverables created specifically for a client become the client's property, subject to our right to use generic components, libraries, and methodologies developed during the project.
• Pre-existing IP: We retain ownership of any pre-existing intellectual property, frameworks, or tools incorporated into deliverables, licensed to the client on a non-exclusive basis.

4. User Representations

By using our website or services, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You have the legal capacity to enter into binding agreements
• You will not use our services for any illegal or unauthorized purpose
• Your use of our services will not violate any applicable laws or regulations

5. Confidentiality

We treat all client information as confidential and use it solely for the purpose of delivering our services. Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement, subject to standard exceptions such as publicly available information or legally required disclosures.

6. Payment Terms

Payment terms are specified in individual service agreements. Generally, projects require an upfront deposit with milestone-based payments. Late payments may incur interest charges or result in suspension of services. All fees are quoted in the currency specified in the agreement and are exclusive of applicable taxes unless stated otherwise.

7. Limitation of Liability

To the maximum extent permitted by law, Agastya Soft Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services. Our total liability for any claims arising under these terms shall not exceed the total amount paid by you to us in the twelve months preceding the claim.

8. Warranty Disclaimer

Any software delivered is warranted to materially conform to agreed specifications for a period of 30 days from delivery.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
